Contracting parties typically wish to set measures of performance so that the parties can determine objectively if the vendor’s performance meets the stated expectations of the buyer, which, in turn, may lead to remedies for not meeting those expectations. However, many such performance requirements do not lend themselves to simple metrics that can be baked into a contract and managed by the lawyers and businesspeople without much outside help.

At this point, almost every business operates some of its information technology (“IT”) assets in the cloud. Cloud‑based IT resources may be infrastructure (supplementing or replacing on‑site data centers and communications systems), platforms, or applications. Also, essential, enterprise‑level applications are now commonly licensed as subscription services maintained by third parties. Many of these third-party services also operate on IT infrastructure sourced from a cloud provider.

Information technology (“IT”) operates in layers: infrastructure (hardware) on which operating systems and computing platforms are installed and application software designed to run on the underlying operating system.[1] Those layers are often referred to as the technology stack. IT systems also communicate with other IT systems, which may be internal or external to an organization, and they store and process data in various forms (information or content).
