    Marijuana has been classified as a Schedule I drug since Congress enacted the Controlled Substances Act (CSA) in 1970. Under the CSA, Schedule I drugs are deemed to have a high potential for abuse and have no accepted medical use. For perspective, other drugs listed as a Schedule I drug include, but are not limited to, heroin, lysergic acid diethylamide (LSD) and ecstasy.

    Last year, I had the privilege of teaching a Professional Responsibility class of 18 highly talented students from Beijing at an excellent law school. The class started at 8 a.m. and was a hybrid of about 50% in-person and 50% remote attendees from Beijing (twelve hours ahead). I entered the experience excited and left feeling that it had exceeded my already high expectations.

Pathak, the shareholders of a closely held corporation decided to raise capital for the business by selling a majority interest, while retaining a minority interest and executive positions under employment contracts.
