The arrangement implementedby BlueCrest Capital Management, on which the Court of Appeal ruled in [2023]EWCA Civ 1481, has been overtaken by legislation as long ago as 2014. But(as well as reminding us of how long it may take to bring a case to court) thedecision warns us again that planning aimed at reducing tax can have theopposite effect. BlueCrest is and was aprivate investment firm. It was run as a partnership.

Some capital allowances are available only to companies. Examples include the ‘super-deduction’ for expenditure between 1 April 2021 and 1 April 2023, and the ‘full expensing’ for expenditure between 1 April 2023 and 1 April 2026. It has been widely supposed that this means that these allowances are not available to partnerships or LLPs (which are not, of course, ‘companies’).

HMRC’s Employment Related Securities Bulletin 54 (February 2024) reminds businesses to familiarise themselves with a rule change coming in from 6 April 2024. For Enterprise Management Incentives (EMI) options granted on or after that date, companies will be required to notify HMRC of the grant by the 6 July that follows the end of the tax year in which the options were granted.
