Heads of Terms (‘HoTs’), also known as Memoranda of Understanding, Letters of Intent or Term Sheets, are usually short (five to ten-page) documents setting out the main terms of a transaction that have already been agreed by the principals. Similar to their M&A counterparts, they provide the parties with the opportunity to negotiate some of the fundamental equity terms ahead of getting into the more lengthy and complicated shareholders’ agreements and articles of association.
