HSR Size-of-Transaction Threshold Increased to $119.5 MillionThe new notification thresholds under the Hart-Scott-Rodino Act will take effect for transactions that close on or after March 6, 2024. Of particular note, the initial threshold for notification under the HSR Act will increase from $111.4 million to $119.5 million.[1] The current thresholds continue to apply to all transactions closed prior to the effective date.
