Section 5 of the Securities Act of 1933 (“Securities Act”) prohibits the offer or sale of unregistered securities, absent an exemption. However, Section 4(a)(1) of the Securities Act explicitly states that the prohibition in Section 5 only applies to transactions by an issuer, underwriter, or dealer.[1]The Securities and Exchange Commission (“SEC”) has been relatively undaunted by that limitation.
