    The English court has implied a term into an agreement referencing three-month USD LIBOR. The term implied was that if LIBOR no longer functions, the calculation should be performed using a reasonable alternative rate as at the date the calculation is to be made. Standard Chartered issued preference shares to Guaranty to satisfy certain regulatory capital requirements. Guaranty was the sole registered shareholder as nominee for a depository which issued American depository shares.

The Court of Appeal has now reversed several important aspects of that judgment. UniCredit had refused to pay demands under stand-by letters of credit which it had confirmed, believing that to have done so would be in breach of sanctions against Russia.

    Eleven months after the publication of its monster consultation paper, the Law Commission has published its final report on Digital Assets. Last time, tongue in cheek, we likened the hype to that for “Top Gun: Maverick”, which now seems a lifetime away and much diminished . However, like the Law Commission, Mr Cruise, has not been resting on his laurels with Mission Impossible 7 apparently imminently scheduled for release.
