complex as carve-outs. In contrast to the sale of a stand-alone
business, carve-outs involve the sale and separation of an
integrated part of a larger business enterprise—and thus
are generally characterized by an interdependence between the
business being sold and the seller's remaining operations,
particularly with respect to critical back-office services such as
HR, accounting, and especially information technology.
