AbstractThe production of painted, etched or engraved designs on cave walls or other surfaces is recognized as a major cognitive step in human evolution. Such intentional designs, which are widely interpreted as signifying, recording, and transmitting information in a durable manner were once considered exclusive to Late Pleistocene Homo sapiens.

Last week a court temporarily enjoined the Federal Trade Commission's rule prohibiting non-compete terms in employee contracts, though the preliminary injunction does not have nationwide effect. While the future prospects of the FTC's rule look grim, there remain risks to using non-compete provisions even if the non-compete rule never goes into effect nationwide, both under some state laws and from potential individual FTC investigations.

On December 18, 2023, the DOJ and FTC jointly released the final 2023 Merger Guidelines that describe how the agencies will evaluate proposed merger and acquisition transactions. Despite significant editing, and calls from industry to moderate the guidelines, the agencies essentially doubled down on their vision, which we have previously described, promising a more aggressive review of future transactions while providing limited concrete guidance for merging companies.
