On August 14, 2024, the United States District Court for the Middle District of Florida issued a preliminary order holding the Federal Trade Commission’s (FTC) ban on employee noncompetes (the “Noncompete Rule”) to be unlawful. However, the court limited its order to the specific plaintiff that brought that particular case. The court, in other words, did not issue any relief from the Noncompete Rule for the millions of other employers across the country.

We have all been waiting, some of us not very patiently, for a recovery in M&A activity, and Q2 2024 data is showing some green shoots of optimism. PitchBook has released its Global M&A Report for Q2 of this year, and there is some positive news: global M&A activity is ahead of 2023 by 10 to 15% in deal count and value. PitchBook analysts point to a “mild recovery” in Q1 of this year, followed by a stronger recovery in Q2 when PE-related deal flow began to pick up.

Antibody-drug conjugates (ADCs) are typically composed of a monoclonal antibody attached to a cytotoxic drug via a chemical linker. The antibody is able to identify biomarkers on and attach to cancer cells, allowing targeted delivery of the cytotoxic drug without damaging surrounding, healthy cells. As a result of this targeted treatment, ADCs are associated with improvement in tumor remissions and overall survival, as well as decreased side effects while undergoing treatment.

Manufacturers should add “possible class action defense” to the list of considerations when evaluating whether to conduct a voluntary recall of a consumer product, particularly when class action litigation is threatened or imminent. Rather than waiting to address issues reactively, a voluntary recall may help proactively squelch costly class action litigation before it gets off the ground.
