arbitration. In making its decision, the Court found that the
arbitration agreement between the parties was both unenforceable as
being contrary to public policy and unconscionable.

Bhatnagar v. Cresco Labs Inc. (Bhatnagar), the Court of Appeal for Ontario (Court) held
that damages are not presumed where a defendant breaches the duty
of honest contractual performance. Rather, according to the Court,
the Supreme Court of Canada's decision in C.M. Callow Inc. v. Zollinger
(Callow) requires the plaintiff to show that the breach
caused a loss before it becomes entitled to damages.
