They just don’t have much—or sometimes any—cash flow, and that’s the bank’s definition of junk. Practices can fall into poor financial straits for lots of reasons. They usually tend to be little offices that DSOs aren’t interested in, so the seller’s options are limited (which also means that as a buyer you have less competition). However, they’re often far from worthless.
