Vicki Been, the chair of New York’s Gaming Facility Location Board, says she’s never been to a casino. “That’s nowhere I want to spend my time,” said Been, a former deputy mayor for housing and economic development for New York City. The proxy adviser said the no votes were warranted because the directors had allowed the company to maintain a “problematic capital structure.” ISS recommended shareholders vote against three of the directors who serve on the compensation committee because it has issues with Paramount’s executive pay plans.
