Christmas is coming early to the ESG bond market as the new EU Green Bond Standard applies from 21 December 2024. The new standard is conceptually similar to existing ICMA use of proceeds standards but quite different in the detail. Under the standard, net proceeds, subject to certain exceptions, must be allocated to EU taxonomy-aligned activities and Issuers must fulfil various reporting and information requirements in accordance with new pre and post issuance disclosure templates.

On 14 November 2024, a number of amendments to: the Prospectus Regulation (Regulation (EU) 2017/1129) ("PR"); the Market Abuse Regulation (Regulation (EU) No 596/2014) ("MAR"); and the Markets in Financial Instruments Regulation (Regulation (EU) No 600/2014) ("MiFIR")forming part of a larger EU Listing Act package were published in the EU Official Journal. While the amendments will generally be effective on 4 December 2024, certain changes will become effective 15 or 18 months later.

In line with broader efforts to remove procedural deterrents from issuers engaging in securities offerings, for about the past year, the German Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht – "BaFin") has been implementing an abridged timeframe for its review of prospectuses for offers and listings of shares. It has also rolled out a pilot with shortened review periods for certain debt prospectuses.
