一、问题介绍 近年来，知识产权在企业首次公开募股（Initial Public Offering，以下 简称“IPO”）的过程中一直受到众多关注，科创板的设立更是让知识产权一直占 据着公众视野。以科创板为例，在 2021 年 4 月 16 日，上交所发布的《上海证券 交易所科创板企业发行上市申报及推荐暂行规定（2021 年 4 月修订）》1聚焦于企 业知识产权管理，进一步筛选、推荐科创板重点支持领域中的“硬科技”企业， 种种规定表明在企业 IPO 的过程中，对于知识产权的关注更甚于前。 然而，因知识产权问题而导致 IPO 进程受阻的案件层出不穷。前有作为首批 进入科创板受理名单的 9 家企业之一的安翰科技无奈撤回上市申请，现有国内第 一梯队珠宝品牌周六福首次冲刺 IPO 失败，企业上市因知识产权问题受困的现象 不在少数。以 2020 年为例，2020 年科创板终止上市的企业共 41 家，其中有 20 家涉及到知识产权问题，占比达到 50%。2对于企业来说，IPO 过程无疑是一场磨 砺，不仅要审视自身企业风险，也给予了行业能够窥探自己的机会。在 IPO 过程...
