Monday, January 6, 2025 PHILADELPHIA, January 6, 2025 – Katayun Jaffari, chair of the Corporate Governance and ESG Practices and co-chair of the Capital Markets & Securities Practice at Cozen O’Connor, was installed as Chancellor of the Philadelphia Bar Association, the oldest bar association in the United States, during its Annual Meeting in December. Jaffari is the 98th Chancellor of the Philadelphia Bar Association and the 12th woman to hold the position.

As the 2024 proxy season comes to a close, we reflect on key executive compensation trends and consider any lessons learned. This article discusses three such trends. In general, 2024 was not significantly different from 2023 but we did see the second year of pay versus performance disclosures. We also saw support for say-on-pay proposals increase this year and a diverse range of executive compensation-related shareholder proposals.

On June 24, the Securities and Exchange Commission (SEC) issued new compliance and disclosure interpretations (C&DIs) providing additional guidance on cybersecurity incident reporting pursuant to Item 1.05 of Form 8-K. These C&DIs follow four C&DIs published by the SEC in December 2023 relating to disclosure obligation considerations after holding discussions with the U.S. Attorney General about the occurrence of a cybersecurity incident.

Recent enforcement actions by the U.S. Securities and Exchange Commission (SEC) against corporations serve as warnings for public companies of the SEC’s increased emphasis on cybersecurity, and of the potential consequences of inadequate cybersecurity practices. Implementation of practices has become especially crucial considering the newly required cybersecurity incident reporting and cybersecurity risk management and governance disclosure for public companies passed by the SEC last year.
