On July 3, 2024, a Texas federal judge issued a preliminary injunction postponing the September 4, 2024 effective date of the Federal Trade Commission (FTC)’s final rule banning non-compete agreements (the Non-Compete Rule) as to plaintiffs Ryan, LLC, the U.S. Chamber of Commerce, Business Roundtable, Texas Association of Business, and Longview Chamber of Commerce.

The rule represents an unprecedented effort by the FTC to assert broad rulemaking authority, and has already been challenged in court. Thus, employers may wish to adopt a “wait-and-see” approach for the time being rather than rushing to make changes in response to this rule. The publication of the final non-compete rule concludes an eighteen month deliberation stemming from the Commission’s issuance of a Notice of Proposed Rulemaking (NPRM) in January 2023.

In a press release announcing the withdrawal, the FTC calls the statements “outdated,” arguing that they “no longer serve their intended purpose of providing accurate guidance to market participants.” Unfortunately, the FTC did not explain what was “outdated” about the prior statements or why those statements did not provide accurate guidance to participants. Nor did the FTC issue a new set of policies to fill the advisory gap.
