The UK’s Financial Conduct Authority (FCA) has overhauled the Listing Rules (the UKLR) to better align with international market standards and to improve the global competitiveness of the UK market. The new UKLR, which apply since 29 July 2024, represent a relaxation of the previous regime and a move to a more disclosure-based regime.

Euronext Dublin is expected to publish the first Irish Corporate Governance Code (the Irish Code) in the next few weeks. It is expected that the Irish Code will apply to financial years commencing on or after 1 January 2025. Companies that have a primary listing on Euronext Dublin will be subject to the Irish Code. However, if a company is dual-listed in both Ireland and the UK, it will have the option to either follow the Irish Code or the UK Corporate Governance Code (the UK Code).

Ireland's Screening of Third Country Transactions Act 2023 (the Act) was signed into law by the President of Ireland on 31 October 2023. The Act requires commencement by Ministerial Order which initially was expected to occur during Q3, 2024. The Department of Enterprise, Trade and Employment (the Department) has indicated that the Act is now expected to commence in the latter part of Q4, 2024. The Companies (Corporate Governance, Enforcement and Regulatory Provisions) Bill 2024 (the Bill) was published on the Oireachtas website in late July and is expected to undergo the legislative procedure this autumn with a view to being commenced before the end of 2024. The Bill is substantially in line with the general scheme for the Bill (General Scheme) that was published back in March 2024 – see our publication for our commentary on the General Scheme.
