2024年8月9日，国家市场监督管理总局发布《关于药品领域的反垄断指南（征求意见稿）》（“征求意见稿”）。根据征求意见稿，指南规制的药品范围包括中药、化学药（含原料药和制剂）、生物制品等各类药品，同时涵盖药品研发、生产、经营等各个关键环节。指南共7章55条，针对药品领域突出的垄断问题，进一步细化了垄断行为在药品领域的具体表现、执法原则和认定标准。尽管该征求意见稿尚不是最终稿，但对于药品经营者自行评估和防范反垄断风险、优化完善反垄断合规体系具有重要指导意义。本文结合对征求意见稿中重要规定的解读，为药品经营者在实践中的突出反垄断风险进行“划重点”分析。 药品领域联合研发活动中的反垄断风险 药品领域的联合研发活动，一般有利于药品创新和消费者福利的提升。但是，如果竞争者之间的联合研发包含了超出合理范围的限制性条款，则可能被认定构成横向垄断协议。本次指南征求意见稿中，除了对竞争者固定或变更价格、限制生产或销售数量、分割销售市场或原材料采购市场等常见的横向垄断协议行为进行细化，还对联合研发活动进行了具体规定。...
